By accessing or using SeekFrame's B2B video search and content repurposing platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

SeekFrame provides an AI-powered platform that enables businesses to:

• Upload and index long-form video content
• Search across video libraries using natural language
• Create clips and compilations from existing content
• Export content in various formats
• Manage team access and permissions

3. Business Use Only

The Service is intended solely for business use. By using SeekFrame, you represent that:

• You are using the Service on behalf of a business entity
• You have the authority to bind that entity to these Terms
• You are at least 18 years old
• Your use complies with all applicable laws and regulations

4. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

5. Subscription and Payment

5.1 Billing

• Subscriptions are billed monthly or annually in advance
• Prices are subject to change with 30 days notice
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method automatically

5.2 Overage Fees

Usage beyond your plan limits will incur overage charges as specified in your subscription plan. Overage fees are billed monthly in arrears.

6. Content and Intellectual Property

6.1 Your Content

You retain all rights to content you upload. By uploading content, you grant SeekFrame a limited license to:

• Process and analyze your content to provide the Service
• Generate transcripts and metadata
• Create clips and compilations as directed by you
• Store and backup your content per our data retention policy

6.2 Our Property

SeekFrame owns all rights to the Service, including our software, algorithms, user interface, and branding. You may not copy, modify, or reverse engineer any part of our Service.

7. Acceptable Use Policy

You agree not to:

• Upload content that infringes on intellectual property rights
• Use the Service for illegal or unauthorized purposes
• Upload malicious code or interfere with the Service
• Attempt to gain unauthorized access to our systems
• Resell or redistribute the Service without permission
• Upload content that is defamatory, obscene, or harmful
• Exceed usage limits or circumvent access controls

8. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. We process data in accordance with applicable data protection laws, including GDPR and CCPA.

9. Service Level Agreement

For paid plans, we commit to:

• 99.9% uptime availability (excluding scheduled maintenance)
• Data backup and disaster recovery procedures
• Security measures appropriate for business data
• Support response times as specified in your plan

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEEKFRAME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SEEKFRAME IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold SeekFrame harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate these Terms:

• By either party with 30 days written notice
• By us immediately for violation of these Terms
• By you at the end of your subscription period

Upon termination, your access will be disabled and your content will be available for download for 30 days.

13. Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [Your Jurisdiction].

14. Changes to Terms
